Hypertrade Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and Hypertrade ("Hypertrade", "we", "us", or "our"), the operator of the Hypertrade application and the website at hypertrade.me (together, the "Service"). By creating a Hypertrade account or using the Service, you agree to these Terms, the Hypertrade Privacy Policy, and the Risk Disclosure. If you do not agree, do not use Hypertrade.
1. What Hypertrade is and is not
Hypertrade is non-custodial software that lets you use a user-controlled trading account and a separate trade-only permission to trade Hyperliquid perpetual futures within limits you define in a risk mandate. Your AI model proposes trades, and a deterministic risk engine decides whether each proposal is permitted under your mandate.
Hypertrade is a software tool only. Hypertrade is not a broker, dealer, exchange, trading venue, investment adviser, financial adviser, fund, or custodian. Hypertrade does not hold your trading assets and cannot independently authorize an external withdrawal. The trading permission can place and manage trades and may reallocate collateral inside your venue account where permitted. Hypertrade is not affiliated with Hyperliquid or with any AI, wallet, routing, or funding provider you connect. Nothing in the Service is financial, investment, legal, or tax advice, and no communication from Hypertrade should be treated as a recommendation to enter into any transaction. You are solely responsible for the mandate you set, the credentials you connect, and every trade that results.
2. Eligibility
To use Hypertrade you must be at least 18 years old, have the legal capacity to enter into these Terms, and be permitted to trade leveraged derivatives where you reside. You may not use Hypertrade if you are located in, or are a resident of, a jurisdiction where use of the Service or of leveraged derivatives is prohibited, or if you are subject to sanctions or listed on any prohibited-party list. Hypertrade may restrict access from jurisdictions it cannot serve.
3. Accounts and wallets
You access Hypertrade using a supported sign-in method such as email or Google. Identity is separate from trading custody. You may create a user-owned embedded wallet through a disclosed wallet provider or, where the capability is enabled, connect an external wallet you already control. Automated trading uses a separate venue-approved agent that can place, cancel, and manage trades but cannot authorize an external withdrawal. You may revoke that trading permission. Owner-sensitive actions, including withdrawal and account-mode changes, require authorization through your owner wallet or supported authentication flow. You are responsible for maintaining the security of your identity account, wallet recovery methods, external wallets, and devices.
4. No custody of funds
Hypertrade never takes custody of your trading assets. Your funds remain in your user-controlled wallet and at the trading venue or disclosed routing providers while a user-requested transfer is in progress. Hypertrade's trade-only agent cannot withdraw to an external address. Hypertrade may prepare a deposit, withdrawal, internal collateral transfer, or account action, but an external withdrawal requires owner authorization. You bear the risks of your wallet provider, external wallet, venue, network, and any transfer provider you choose.
5. Subscriptions, billing, and cancellation
Certain Hypertrade features require a paid subscription. Prices, plan features, and payment methods are shown in the Service. Subscriptions may be paid by supported methods, which may include card and on-chain payments. Except where required by law, subscription fees are non-refundable. You may cancel at any time from your Settings; cancellation stops future renewals and takes effect at the end of the current billing period. Hypertrade never charges a performance fee and never takes a share of your trading results.
6. Third-party services
The Service interoperates with third parties, including the Hyperliquid venue, identity and wallet providers, any AI provider whose key you connect, funding routers, fiat onramps, payment processors, blockchain networks, and social platforms you authorize for content publishing (for example Facebook, Instagram, Threads, or X). Deposit and withdrawal routes may involve addresses, fees, exchange rates, recovery procedures, eligibility checks, and settlement times supplied by those providers. Your use of those third parties is governed by their own terms and privacy policies. Hypertrade does not control and is not responsible for third-party services, their availability, quotes, or acts or omissions.
7. No promise of profit
Hypertrade does not promise or guarantee any profit, return, or outcome. Trading perpetual futures with leverage is high risk and can result in the rapid and total loss of your funds, and in some cases losses beyond your initial margin. Past performance, backtests, and simulations do not predict future results. You trade entirely at your own risk. Please read the Risk Disclosure in full.
8. Acceptable use
- Do not attempt to bypass, disable, or interfere with the risk engine or any platform limit or safeguard.
- Do not misuse, overload, probe, or attempt to gain unauthorized access to the Service or its systems.
- Do not use the Service for market manipulation, fraud, money laundering, or any unlawful activity.
- Do not abuse the Service, other users, the trading venue, or any connected third party.
- Do not reverse engineer, copy, resell, or create derivative works from the Service except as allowed by law.
9. Intellectual property
The Service, including its software, design, and content, is owned by Hypertrade and protected by intellectual property laws. Hypertrade grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose while you comply with these Terms. You retain ownership of the mandates and configurations you create; you grant Hypertrade the limited rights needed to operate the Service for you.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Hypertrade does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any decision, proposal, or execution will be profitable or free from loss.
11. Limitation of liability
To the maximum extent permitted by law, Hypertrade and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, funds, data, or trading losses, arising out of or relating to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid Hypertrade in the three (3) months before the event giving rise to the claim, or fifty (50) US dollars.
12. Indemnification
You agree to indemnify and hold harmless Hypertrade and its operators from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
13. Suspension and termination
You may stop using Hypertrade and delete your account at any time. Hypertrade may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, the licenses granted to you end; provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnities) will survive.
14. Governing law and disputes
These Terms are governed by the laws applicable where the operator of Hypertrade is established, without regard to conflict-of-law rules, and to the extent permitted by any mandatory consumer-protection law of your place of residence. You agree to first attempt to resolve any dispute with us informally by contacting [email protected].
15. Changes to the Service and these Terms
Hypertrade may change, suspend, or discontinue any part of the Service, and may update these Terms from time to time. When we make material changes to these Terms, we will update the date below and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
